BUSINESS & COMPANY REGISTRATION

Business set –up:

Registration with different government agencies:
Registration of the business and investments with appropriate government agencies like the Philippine Economic Zone Authority (PEZA), Board of Investments (BOI), Securities and Exchange Commission (SEC), the Central Bank of the Philippines (CB), Bureau of Customs (BOC), the Department of Trade and Industry (DTI) and Bureau of Foods and Drugs (BFAD). BVI Offshore Registration, and PAGCOR Philippines Offshore Gaming Operators (POGO) license.

 

Registration of patents, trademarks, service marks, royalty agreements, and designs with the Bureau of Patents, Trademarks and Technology Transfer (BPTT) of the Department of Trade and Industry (DTI) Assistance in filing application for various permits such as Mayor’s Permit, Business Permits, Environmental Compliance Certificate (ECC), Permit to Construct (P/C) and Permit to Operate (P/O) with the Department of Environment and Natural Resources (DENR).

To provide liaison works with other government agencies for renewal of necessary documents. 

LEGAL SERVICES

LEGAL ADVICE AND CONSULTATION

Hands-on consultation, advice, and rendering of opinions to CLIENT regarding the legalities of the business. Advise the Directors of the CLIENT on all legal matters pertaining to the CLIENT’s business. Prepare such written and oral legal opinions as shall, from time to time, be requested by the CLIENT

PREPARATION OF CONTRACTS

Prepare, review, and approve as to form, contracts, agreements, resolutions, ordinances, and all other standard company documents. Review and approve as to form and content all proposed adverse personnel actions as, from time to time, are requested by the CLIENT. Prepare and review contracts and other business legal documents.

CORPORATE HOUSEKEEPING AND DOCUMENTATION

- In-charge in the preparation and safekeeping of Corporate Documents.
- To make sure that all legal documents are filed, updated and intact.
- To coordinate with the Corporate Secretary and act as the Acting Corporate Secretary and perform the responsibilities of the Corporate Secretary to make sure that the business/Company has complied with all the reportorial requirements.
- To monitor and prepare reportorial requirements with SEC, PEZA and other government agencies such as the General Information Sheet of the Company, Registration Data Sheet, Issuance of Certificate of Shares, Deed of Assignment.
- To prepare Board Resolutions, Minutes of Stockholder’s Meeting
and record the issued shares in the record book.

TO ACT AS THE CORPORATE SECRETARY and HR (LABOR RELATED)

Review and Preparation of Company Manuals, Company policies, Business Contracts and Employment Contracts.
- Conducts a Company Orientation for employees and employers regarding basic labor laws, rights, and obligations of employers and employees.
- Assistance in business negotiations and transactions i.e. joint ventures, Memorandum of agreement (MoA), Memorandum of Understanding (MoU)
- Preparation of employment contracts - Issuance of Memorandum to employees and implement such company’s Memo.

LITIGATION AND HANDLING OF CASES

To represent the client and handle labor, civil and criminal cases (subject to a separate engagement fee).

WORKING VISA AND OTHER
IMMIGRATION RELATED SERVICES

All foreign employees are required to secure necessary visa before commencement of work.

In line with this, we formally propose our working visa and other immigration-related services for the (Name of the operator’s company). Our services include the following:

1. 9G (Pre-arranged Employment Visa with Alien Employment Permit) We handle documentation and processing of your employees’ visa with the Philippine BI and with the DOLE if your employees work with you for more than six (6) months. Visa validity depends on your business needs. It can range from one to three years.
2. Special Work Permit – Commercial (SWP) This is issued to foreign nationals who comes to the Philippines for employment in a short or temporary period. We process all the documentation for you. Initial validity of Special Work Permit is three (3) months and be extended for another three (3) months.
3. Provisional Work Permit (PWP). This visa will be issued to foreign national whose application for pre-arranged employee visa (9G) is in process. Since the 9G visa cannot be processed without an Alien Employment Permit issued by the Department of Labor and Employment. We will do all the documentation and processing for you.
4. Extensions of your Temporary Visitor’s Visa (9A). We provide services for the extension of your temporary visitor’s visa. This is for those who are employed here for a short period and for tourists who would like to extend their stay in the Philippines to explore more of what the Philippines can offer.
5. Non-quota immigrant Visa by marriage (13A). We also process the visa for those who marry Filipinos.
